Our journey to wellness...About this report

City Lodge Hotel Group (“CLHG” or the “group”) aims to provide its stakeholders with an engaging and concise integrated report that details how its identity, strategy, performance, governance, and prospects have, and will continue to, create value for its stakeholders in the short, medium, and long-term. The group has endeavoured to report about its financial position, its sources of capital, its board of directors (“board”) and committees, and its sustainability objectives and achievements, in a transparent, holistic, and integrated manner to assist its stakeholders in making informed decisions about their respective shareholdings.

Our reporting covers the group’s 59 hotels, situated across southern Africa, namely in South Africa, as well as Botswana, Mozambique and Namibia and includes four hotel brands: Courtyard Hotel, City Lodge Hotel, Town Lodge, and Road Lodge.

MATERIALITY

The group's Environmental, Sustainability and Governance (ESG) Reporting journey continues, with our progress being scrutinised by ratings agencies tasked with providing a gap analysis. The feedback received is invaluable to us and we have prioritised its expert interpretation and strategic implementation.

As such, CLHG has taken guidance on their approach to materiality in preparation for this year's integrated report and have considered the requirements of, and principles behind, the various initiatives run internationally and locally with the shared goal of developing a consolidated sustainability disclosure matrix. As CLHG's stakeholders are so diverse, we have committed in the long-term to adopting globally recognised approaches to materiality in assessing our financial value as a company, and our impact on the citizens, the environment, and the economy of South Africa.

In this spirit, this report is guided by, inter alia, the following legislation and best practice protocols:

  • The Listings Requirements of the Johannesburg Stock Exchange ("JSE")(the "Listings Requirements");
  • The JSE Sustainability Disclosure Guidelines;
  • The Companies Act, 71 of 2008 (as amended) (the "Companies Act");
  • The King IV Report on Corporate Governance, 2016 ("King IV™");
  • The International Financial Reporting Standards ("IFRS"); and The Value Reporting Foundation’s International <Integrated Reporting> Framework (the “<IR> Framework”).

PREPARING THE REPORT CONTENT

The content is developed in consultation with our stakeholders and supported by input from reporting specialists. Group executive and board members contribute to the content and we are guided by the International Framework and other reporting frameworks/codes.

ENSURING THE INTEGRITY OF THE REPORT

Validity of the content in our report is ensured through following a coordinated/combined assurance process. Governing oversight at board and executive level ensure the reporting content is credible and authentic.

APPROVAL OF THE REPORT

Approval is based on sign-off from the executive and final approval of the board.

The board acknowledges its responsibility to ensure this report's information integrity, completeness as well as the report's preparation in accordance with the Framework. The board is kept abreast of the reporting progress through various board committees' feedback and the audit committee recommends the report to the board for approval.
